In the attachment, "Sample Bylaws...", I suggest the following revision of Article 5, section 5.

Section 5. Vote. Each Member may cast only one vote for each parcel owned and benefitted by said Common Roads. For approval of any issue except amendment, there must be a vote in favor of the decision by a majority of Members present and voting in person or by written proxy or absentee ballot.
